Users and accounts
A “merchant” issues or manages invoices; a “payer” receives or pays them. Businesses may act in both roles; payers may pay for business or personal purchases. Users must be US-based unless otherwise agreed and have legal capacity. Keep account information accurate and credentials secure; report suspected unauthorized access promptly.
Invoices and business credit
Merchants are responsible for sales, invoices, taxes, purchase and credit terms, decisions, limits, and required notices. Company is not a party to the sale. Registration does not acknowledge invoice validity; payers owe their agreed purchase obligations. Direct purchase/invoice disputes to the merchant and Service issues to Company.
Credit features are business-only. Consumer credit is not offered through the Services covered by these Terms. Reports may contain errors and do not guarantee payment. Merchants must consider other appropriate information, obtain required permissions, and follow provider restrictions and law. Unauthorized redistribution and consumer credit or employment-screening uses are prohibited. Company retains its statutory duties.
Payments and authorizations
Processors handle merchant payments; Company provides software without custody of invoice funds. Merchants need eligible processor accounts. Required provider terms and acceptance are presented when connecting or paying.
Each payment needs authorization, including for future or recurring charges. Saving a method alone does not authorize charges. Contact the merchant or Company to revoke future authorization, subject to processing requirements. Invoice obligations and applicable stop-payment, error, and unauthorized-transaction rights remain.
Payment fees and refunds
Payment fees or surcharges may vary by method and jurisdiction and apply only where law and payment rules permit. Fees and total price are disclosed at the time required by law and before payment authorization.
Payer fees charged through the Services are refunded fully on a full payment refund and proportionally on a partial refund, or more where law or payment rules require. The applicable Master Services Agreement (“MSA”) and provider agreements allocate retained processor costs between merchant and Company.
Company may initiate refunds only on merchant instructions, express MSA authority, or legal requirements, and coordinate authorized disputes. Processor/payment rules govern timing and reversals; initiating payment does not guarantee settlement.
Master Services Agreement
Merchant MSAs and order forms govern platform fees, billing, renewal, cancellation, and platform fee refunds. An express MSA conflict controls for its merchant on that subject; it does not bind nonconsenting payers. A data processing agreement controls covered processing.
Information and permitted use
You retain submission rights and permit Company and providers to process them for the Services and legal obligations. Obtain required permissions and notices. Company retains its software and related intellectual property (“Company Technology”) and grants limited use under these Terms. Our Privacy Policy covers personal information.
Do not act unlawfully or fraudulently, introduce harmful code, interfere with security, or access accounts or information without authorization.
Closure and termination
Request closure through support; merchant termination follows the MSA. We allow reasonable opportunity to export authorized information before ordinary closure. We may restrict access for unlawful activity, security risks, or material breach, subject to the MSA and law. Payment obligations and intended continuing provisions survive. Our Privacy Policy describes retention.
Warranties and liability
Except as expressly provided in these Terms or an MSA, and where law permits, the Services are provided as is and as available without implied warranties, including merchantability, fitness for a particular purpose, or noninfringement. We do not guarantee uninterrupted operation.
For claims between you and Company relating to these Terms or the Services, subject to the governing MSA and law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or data, even if advised they were possible. This exclusion does not apply to merchant platform payment obligations, refunds owed, fraud, gross negligence, or willful misconduct.
Each party’s aggregate liability under any theory, including applicable indemnification, is capped at the greater of $1,000 or platform fees paid or payable by you to Company during the 12 months before the first event giving rise to the claim. The cap excludes merchant platform payment obligations, refunds owed, a merchant’s infringement, misappropriation, or unauthorized use of Company Technology, and either party’s fraud, gross negligence, or willful misconduct. These limits preserve nonwaivable rights. Company may seek equitable relief for actual or threatened misuse or disclosure of Company Technology.
Governing law and changes
New York law governs, excluding conflict-of-law rules, with exclusive jurisdiction and venue in Kings County state courts and the United States District Court for the Eastern District of New York. Each party consents, subject to mandatory law and a different express MSA provision for its merchant. Mandatory consumer protections and forum rights remain.
Invalid provisions do not affect the remainder. We give at least 30 days’ notice of material prospective changes through account email or the Services, unless law or urgent security requires less, and obtain renewed acceptance where required. MSA amendments follow the MSA. Contact support@perqia.com or 185 Wythe Ave., F2, Brooklyn, NY 11249.
